These Official Rules (“Rules”) govern the Battle Bets x Oklahoma Breakdown Weekly Prize Giveaway and the Battle Bets x Oklahoma Breakdown Season-Long Prize Giveaway (together, the “Promotion”), offered by Battle Bets Technology, Inc. (“Sponsor,” “Battle Bets,” “we,” or “us”). By participating, each entrant (“you” or “Entrant”) agrees to these Rules and our decisions, which are final and binding.
1. ELIGIBILITY
‍
1.1 Jurisdiction/Age. Open only to natural persons who are legal residents of the 50 United States or the District of Columbia, excluding residents of New York, Florida, Rhode Island, and Washington (the “Excluded States”), and who are 18 years of age or older (or the age of majority in their state of residence, if higher) at time of entry.
1.2 Institutional Restrictions.Current collegiate (NCAA) athletes, coaches, and athletics department staff are not eligible to participate or win any prize. Entrants are solely responsible for ensuring participation does not violate any employment, team, school, or league policy.
1.3 Other Ineligibility. Employees, officers, directors, agents, and representatives of Sponsor and its parent, affiliates, subsidiaries, advertising/promotion agencies, and immediate family/household members of each are not eligible.
1.4 Legal Compliance. The Promotion is void in the Excluded States, U.S. territories/possessions, and where prohibited by law. Sponsor may update the Excluded States list if laws change or compliance would be impracticable.
2. FREE ENTRY; NO CONSIDERATION
2.1 Free-to-Play. Entry is free. No purchase, payment, entry fee, or wagering of real currency is required or permitted. The app uses only simulated (“fake”) currency for game play. This Promotion is a free entry giveaway/contest to reward app engagement.
2.2 No Alternative Method Needed. Because there is no purchase or payment required and outcomes are based on Entrant choices and recorded in-app results, no separate alternative method of entry is offered.
3. PROMOTION PERIODS
3.1 Season-Long Prize Period. Starts October 8, 2025, 12:00:00 a.m. ET and ends November 9, 2025, 8:00:00 a.m. ET (the “Season Period”).
3.2 Weekly Prize Periods. Each “Week” is a discrete period during the college football regular season beginning 12:00:00 a.m. ET Monday and ending 11:59:59 p.m. ET Sunday, unless Sponsor specifies different weekly dates before the Week begins. Time is measured by Sponsor’s server clock.
4. HOW TO ENTER
4.1 Account. Download the Battle Bets iOS app and create a free account in compliance with the app Terms of Use and Privacy Policy.
4.2 Participation. During a given Week (for Weekly prizes) or the Season Period (for the Season-Long prize), place simulated bets in the app on available college football markets. Only settled bets placed and resolved within the applicable period count toward that period’s totals.
4.3 Integrity. Limit one (1) account per person. Using multiple accounts, device emulators, bots, scripts, or any method to manipulate outcomes is prohibited and may result in disqualification and account closure.
5. SCORING; DEFINITIONS
5.1 Total Payout (Weekly/Season). “Total Payout” means the sum of settled returns from qualifying simulated bets as calculated by the app’s scoring engine for the applicable period, less any settled losses. Unsettled, void, or canceled bets do not count.
5.2 Official Data/Settlement. Settlements are based on results provided by Sponsor’s official data provider(s) and the app’s published rules. Post-event stat corrections after 24 hours from the official end of a period will not affect standings unless Sponsor announces otherwise for fairness/accuracy.
5.3 Market Availability. Sponsor may add, remove, or limit markets, props, and max bet sizes to ensure fair play and platform integrity.
6. PRIZES
‍6.1 Weekly Prize. Awarded to the eligible Entrant with the highest Total Payout for that Week. The weekly prize type and approximate retail value (“ARV”) will be announced in-app and/or through an official Battle Bets channel (e.g., social media) before the Week begins. Weekly prizes may be cash (paid via digital payment or check) or physical items (e.g., a football jersey).
6.2 Season-Long Prize. One (1) US$500 cash prize awarded to the eligible Entrant with the highest Total Payout across the Season Period. Please note that the Oklahoma Breakdown season period is not the College Football season.
6.3 Prize Limits. A single Entrant may win multiple Weekly Prizes. Sponsor may cap the number of Weekly Prizes any one Entrant can win, provided such cap is disclosed in-app before the applicable Week begins.
6.4 Substitutions. If a prize (or any portion) becomes unavailable, Sponsor may substitute a prize of equal or greater value. Non-cash prizes have no cash alternative unless Sponsor elects otherwise in writing.
6.5 Taxes & Forms. Winners are solely responsible for all taxes. For U.S. residents, Sponsor may require a completed IRS Form W-9 and will issue a Form 1099-MISC for prizes with an aggregate value of $600 or more in a calendar year. Failure to provide required tax documentation will result in forfeiture.
‍7. WINNER SELECTION; TIES; VERIFICATION
‍7.1 Selection. Potential winners are determined by the leaderboards generated by the app at the close of each period, subject to eligibility and compliance checks.
7.2 Ties. Cash prizes: split evenly among tied winners. Physical prizes: decided by sequential tie-breakers:
(a) earliest Battle Bets account registration date/time; then
(b) earliest timestamp of the last bet that established the tied Total Payout; then
(c) fewest total qualifying bets during the period; then
(d) random drawing conducted by Sponsor.
7.3 Notification. Potential winners will be notified via email to the address on file within seven (7) days after the applicable period ends. You must respond and complete verification within seven (7) days of notification, or the prize may be forfeited and awarded to the next eligible Entrant.
7.4 Verification/Documents. Sponsor may require government-issued ID, proof of residence, and signed declarations (eligibility, liability/publicity release). Failure to comply will result in disqualification.
‍8. CONDUCT; DISQUALIFICATION
‍8.1 Fair Play. Sponsor may disqualify any Entrant for actual or suspected: account sharing, multiple accounts, collusion, tampering, abuse of glitches, automated play, circumvention of geolocation or residency restrictions, or violation of these Rules or app terms.
8.2 Audit. Sponsor may audit gameplay and prize claims and may delay prize fulfillment pending review.
‍9. CANCELLATION; FORCE MAJEURE; CHANGES
‍If the Promotion or any component cannot run as planned due to fraud, technical failures, force majeure, or any cause outside Sponsor’s reasonable control, Sponsor may, in its sole discretion, modify, suspend, or terminate the Promotion (or any Week), and, if feasible, determine winners from eligible, non-suspect gameplay up to the date of disruption using these Rules.
‍10. PUBLICITY RELEASE
‍Where lawful, by accepting a prize you grant Sponsor and its designees the right to use your name, username/handle, city/state, likeness, and gameplay stats for advertising/publicity in any media without further compensation or notice.
‍11. PRIVACY
‍Personal information is processed in accordance with Sponsor’s Privacy Policy at https://app.termly.io/policy-viewer/policy.html?policyUUID=c1e4b856-f261-4021-a0cc-a92a45dcf321. By participating, you consent to the collection and use of data for administration of the Promotion and prize fulfillment.
‍12. DISCLAIMER; LIMITATION OF LIABILITY; RELEASE
‍To the maximum extent permitted by law, Sponsor and its affiliates, suppliers, and their respective officers, directors, employees, and agents (the “Released Parties”) are not responsible for: (a) lost, late, misdirected, damaged, garbled, incomplete, or ineligible entries or communications; (b) technical errors or malfunctions; (c) unauthorized human intervention; or (d) injury or damage to persons or property arising from participation or prize use. By participating, you release the Released Parties from any and all claims, damages, or liability arising from or related to your participation or any prize, except in cases of gross negligence, willful misconduct, or where prohibited. Some jurisdictions do not allow certain limitations; in such cases, limitations apply to the fullest extent permitted.
‍13. DISPUTE RESOLUTION; ARBITRATION; WAIVERS
‍13.1 Governing Law & Venue. These Rules and any dispute, claim, or controversy between you and Sponsor arising out of or relating to the Promotion or these Official Rules (collectively, “Disputes”) are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. To the extent required by law, this choice of law does not deprive you of the protection of any non-waivable consumer protection laws of the state in which you reside.
13.2 Binding Arbitration; Class Waiver; Forum (Texas). You and Sponsor agree that any and all Disputes will be resolved exclusively by binding, individual arbitration as set forth below.
- Arbitration. The selected arbitrator - not any court - has exclusive authority to resolve all issues related to the interpretation, applicability, enforceability, or formation of these Rules (including any claim that all or any part is void or voidable), except that a court decides issues regarding the class/collective action waiver in this Section 13.2.
- Administrator; Rules; Location. Arbitration will be administered by JAMS under its Consumer Arbitration Minimum Standards and applicable JAMS Rules then in effect (the “Rules”). The arbitration hearings will take place in Dallas County, Texas; however, at your election or if the arbitrator determines it is reasonably necessary or more efficient, the hearing may proceed by remote video or on written submissions as the Rules allow.
- Class/Collective Action Waiver. Arbitration must proceed on an individual basis only. Class, collective, consolidated, private attorney general, or representative proceedings are not permitted. The arbitrator may award relief (including injunctive relief) only in favor of the individual party seeking relief and only to the extent necessary to resolve that party’s individual claim(s).
- Costs and Fees. The parties will split the cost of all filing, administration, and arbitrator fees beyond the first $250 of your filing fee (if any), unless the arbitrator determines your claim is frivolous or brought for an improper purpose under applicable law. Each party otherwise bears its own attorneys’ fees and costs, except as the arbitrator may award under applicable law.
- Procedures; Discovery; Evidence. The arbitrator will follow the Rules, apply Delaware law (consistent with the Governing Law clause and subject to the FAA), and allow reasonable discovery. The arbitrator may award any remedy available in court on an individual basis. Judgment on the award may be entered in any court having jurisdiction.
- Mass-Filing Management. If 25 or more similar arbitration demands are filed against Sponsor by the same counsel or are otherwise coordinated, the parties agree to (i) select 10 bellwether matters to proceed first, (ii) stay the others, and (iii) after the bellwethers are resolved, confer in good faith about resolving or batching remaining cases; if no agreement, the administrator will promptly resume processing in batches of 20 at a time. Limitations periods are tolled for stayed claims.
- Confidentiality. To the extent permitted by law, the arbitration proceedings and award will be confidential.
- Severability; Survival. If any part of this Section 13.2 (other than the class/collective waiver) is found unenforceable, that part will be severed, and the remainder enforced. If the class/collective waiver is found unenforceable, this Section 13.2 is void in its entirety, and Disputes will be resolved in the courts specified below. This Section 13.2 survives termination of the Promotion or your relationship with Sponsor.
- Court Venue for Exceptions/Enforcement. For any matter not subject to arbitration (applications for temporary injunctive relief, or actions to confirm, modify, or vacate an award), the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Dallas County, Texas, and waive any objection to inconvenient forum.
13.3 Injunctive Relief. Notwithstanding the foregoing, Sponsor may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or platform integrity.
‍14. APP/PLATFORM & SOCIAL MEDIA NOTICESApple Inc. and any other platform provider are not sponsors of, or responsible for, this Promotion. To the extent any Promotion activity occurs on social media, you agree to comply with platform terms and clear disclosure requirements for any user-generated content related to the Promotion (e.g., include #Contest or #Sweepstakes if posting about the Promotion).
‍15. WINNERS LIST; RULES REQUEST
‍For a list of winners (first initial, last name, and state) or a copy of these Rules, send a self-addressed, stamped envelope to: Battle Bets Winners List/Rules Request, 4830 Worth St, Dallas, TX 75246 within 60 days after the Season Period ends. VT residents may omit return postage.
‍16. MISCELLANEOUS
‍16.1 Severability. If any provision is found invalid, the remaining terms remain in effect.
16.2 Headings. Headings are for convenience only and do not affect interpretation.
16.3 Entire Agreement. These Rules, together with in-app disclosures made before a Week begins and the app Terms/Privacy Policy, form the entire agreement regarding the Promotion.
